3. No Guarantee of Results

All estimates, projections, case study results, and performance descriptions provided on our website or in our proposals are illustrative examples based on prior client outcomes and general industry data. They are not guarantees, warranties, or representations of what you will achieve. Business results depend on many factors outside our control, including your industry, market conditions, offer quality, existing systems, and effort invested. Past results do not guarantee future performance.

Our 30-Day Launch Guarantee, where offered, is subject to the specific terms of your individual service agreement. Please review your service agreement for details on eligibility and conditions.

4. Payment Terms

Our standard pricing structure includes a one-time setup fee and a recurring monthly service fee, as described in your service agreement. The following payment terms apply:

Setup fee: Due in full before project work commences, unless otherwise agreed in writing.
Monthly fees: Billed in advance on a monthly basis. Payment is due within 7 days of the invoice date.
Late payments: Invoices not paid within 14 days of the due date may result in suspension of services.
Refunds: Setup fees are non-refundable once project work has commenced. Monthly service fees paid in advance are non-refundable for the current billing period.

5. Cancellation

Either party may cancel the ongoing monthly service with 30 days' written notice sent to the other party's designated email address. Cancellation does not relieve the client of any outstanding payment obligations. Upon cancellation, we will provide reasonable assistance in transitioning system access back to the client or a successor provider. Any one-time project fees (including setup fees) paid prior to cancellation are non-refundable.

6. Client Responsibilities

To deliver our services effectively, you agree to:

Provide accurate and complete information required for setup and configuration.
Respond to reasonable requests for information, approvals, or access credentials in a timely manner.
Ensure that any content, lists, or data you provide complies with applicable law, including anti-spam laws (CAN-SPAM, TCPA).
Maintain the third-party platform subscriptions necessary for the services (such as CRM accounts, email service providers, and booking tools).

7. Intellectual Property

Upon receipt of full payment for any project, all custom deliverables created specifically for you (such as website designs, copy, and workflow configurations) become your property. Umbrella AI Agency retains ownership of its underlying methodologies, templates, tools, and processes used in delivering services.

All content on our website — including text, images, logos, and page structure — is the property of Umbrella AI Agency and may not be reproduced or used without our prior written consent.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Umbrella AI Agency's total liability to you for any claims arising out of or related to these terms or our services shall not exceed the total amount you paid us in the three months preceding the claim.

In no event shall Umbrella AI Agency be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.

We are not responsible for the actions, terms, or availability of third-party platforms (including GoHighLevel, Google, Meta, or any other platform) used in delivering our services. Downtime or changes to third-party platforms are outside our control.

9. Confidentiality

Both parties agree to keep confidential any non-public business information disclosed during the engagement. This obligation does not apply to information that becomes publicly available through no fault of the receiving party or is required to be disclosed by law.

10. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms or our services shall first be addressed through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in California under the rules of the American Arbitration Association, unless both parties agree otherwise in writing.
